Aram AI Labs provides an AI-powered resume screening and candidate ranking platform ("Service") that uses patent-pending LLM-enhanced technology to analyze resumes and job descriptions. Our Service includes:

• Automated resume analysis and scoring
• AI-powered candidate ranking
• Semantic matching between job requirements and candidate qualifications
• Web-based access to our platform

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the authority to enter into this agreement on behalf of your organization to use our Service.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Providing accurate and complete information

4. Pilot Program and Beta Testing

As a pilot program participant, you acknowledge that:

• The Service is provided "as-is" for testing and feedback purposes
• Features and functionality may change without notice
• We may request your feedback to improve the Service
• Service availability is not guaranteed during the pilot phase

5. Acceptable Use Policy

You agree NOT to use our Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Discriminate based on protected characteristics (race, gender, age, etc.)
• Attempt to reverse engineer or access our underlying AI technology
• Share or resell access to our Service without authorization
• Interfere with or disrupt the Service or servers
• Collect data about other users without consent

6. Data and Content

6.1 Your Content

You retain ownership of all resumes, job descriptions, and other content you upload ("Your Content"). By uploading Your Content, you grant us a limited license to:

• Process and analyze Your Content using our AI technology
• Store Your Content on our secure servers
• Use aggregate, anonymized data to improve our Service

6.2 Our Technology

Our patent-pending AI technology, algorithms, and models remain our exclusive property. You may not:

• Attempt to replicate or reverse engineer our technology
• Extract or scrape our AI models or training data
• Use our Service to build competing products

7. Privacy and Data Security

Your use of the Service is also governed by our Privacy Policy. We implement industry-standard security measures, including:

• Encryption in transit and at rest
• AWS SOC2-compliant infrastructure
• Regular security audits
• Access controls and authentication

8. Intellectual Property Rights

All rights, title, and interest in the Service, including our patent-pending technology, trademarks, and proprietary algorithms, belong to Aram AI Labs LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service during the term of your agreement with us.

9. Pricing and Payment (Future)

During the pilot phase, access may be provided at no cost or at reduced pricing. When we transition to general availability:

• Pricing will be communicated in advance
• You will have the option to accept new terms or discontinue use
• Fees are non-refundable unless otherwise stated

10. Service Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted access. We are not liable for:

• Temporary unavailability due to maintenance or updates
• Third-party service failures (AWS, internet providers)
• Force majeure events beyond our control

11. Disclaimer of Warranties

We explicitly disclaim all warranties, including:

• Implied warranties of merchantability and fitness for purpose
• Accuracy or completeness of AI-generated results
• Uninterrupted or error-free operation
• Freedom from viruses or harmful components

AI Limitations: Our AI technology provides suggestions and rankings, but final hiring decisions remain your responsibility. We are not liable for hiring outcomes.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARAM AI LABS LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from hiring decisions made using our Service
• Third-party claims related to Your Content

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim, or $100 if no fees were paid.

13. Indemnification

You agree to indemnify and hold harmless Aram AI Labs LLC from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your Content or hiring decisions
• Your violation of any third-party rights

14. Termination

We may suspend or terminate your access to the Service:

• For violation of these Terms
• For illegal or harmful activities
• If we discontinue the Service
• At our discretion during the pilot phase

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in Pittsburgh, PA, except that either party may seek injunctive relief in court for intellectual property violations.

17. Export Compliance

You agree to comply with all applicable export and import laws. You may not use the Service in countries subject to U.S. trade embargoes.

18. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Aram AI Labs LLC
• Severability: If any provision is unenforceable, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent
